Cloud Usage Pricing and Billing Terms

For Cloudera Data Platform Public Cloud ("CDP Public Cloud")

1. PRICING / RATES.  Cloudera charges fees for use of CDP Public Cloud Services as set forth below.

1.1  Hourly Rates

Cloudera will charge Customer fees for its use of CDP Public Cloud Services based on Customer’s hourly usage of cloud instances that are managed by Customer through CDP Public Cloud Services (“Cloud Usage”). Fees incurred by Customer for Cloud Usage are referred to herein as “Cloud Usage Fees.” Cloudera’s hourly rates for Cloud Usage are set forth at: http://www.cloudera.com/products/pricing/cdp-public-cloud-service-rates.html  

Customers are charged for a minimum of one hour each time an instance is started – that is, when the instance is in running state and is ready for use.  For example:

  • If Customer runs one instance for 15 minutes, then stops or terminates the instance, Customer will be billed for one hour;

  • If Customer runs one instance for 15 minutes, stops the instance, then restarts the instance, Customer will be billed for two hours; and

  • If Customer runs two instances of the same type for 15 minutes each, Customer will be billed for two hours.

Any portion of one hour that an instance is running is billed as one hour. For example:

  • If a Customer runs one instance continuously for 1 hour and 15 minutes, Customer will be billed for two hours.

1.2 User-Based Rates

Cloudera will additionally charge Customer fees for use of certain services offered within CDP Public Cloud based on the number of unique Users that are active in such services each billing month (“User-Based Usage”).  Fees incurred by Customer for User-Based Usage are referred to herein as “User-Based Fees.”  For purposes of calculating User-Based Fees, an “active” User is a User that has performed any action in the applicable service, including but not limited to logging in to the service or running jobs in the service (including automated jobs that may have been pre-scheduled by the User). 1.3 Systems of Record

Cloudera’s systems are the systems of record with regard to recording and reporting Customer’s Cloud Usage and User-Based Usage.   

2. BILLING OPTIONS.  Cloudera offers the following options for payment of Cloud Usage Fees and User-Based Fees.

2.1  Pre-Pay Credits

2.1.1 Under Cloudera’s Pre-Pay Credit option, Customer may purchase, in advance, a certain amount of credits from which Customer’s Cloud Usage Fees and User-Based Fees, as applicable, will be deducted on a monthly basis (“Pre-Pay Credits”). Customer must issue a purchase order to Cloudera for its initial purchase of Pre-Pay Credits. The currency in which Customer purchases Pre-Pay Credits will be the same currency used by Cloudera to calculate Cloud Usage Fees and User-Based Fees to be deducted from Pre-Pay Credits.   

2.1.2 Fees for Pre-Pay Credits will be invoiced upfront and in full at the time of Customer’s purchase of such Pre-Pay Credits. Pre-Pay Credits purchased by Customer are valid and may be used for a period of twelve (12) months from the date of Customer’s purchase (the “Pre-Pay Credit Term”), unless otherwise agreed by the parties in writing.  Any Pre-Pay Credits that are not used by Customer during the applicable Pre-Pay Credit Term automatically expire. No refund or future credit will be provided to Customer for any portion of Pre-Pay Credits that remains unused upon expiration of the applicable Pre-Pay Credit Term.

2.1.3 On a monthly basis, (a) Cloudera will issue monthly usage reports to Customer indicating Customer’s hours of Cloud Usage and User-Based Usage during the previous month, and (b) Customer’s Pre-Pay Credits will be reduced by the corresponding applicable fees, until: (i) the Pre-Pay Credit Term expires, or (ii)  Customer has used its Pre-Pay Credits in full, whichever is first to occur. 

2.1.4 If Customer’s Pre-Pay Credits are used in full prior to the expiration of the applicable Pre-Pay Credit Term and Customer has not purchased any additional Pre-Pay Credits, then Customer will automatically be deemed to have transitioned to the Pay-As-You-Go billing option described in Section 2.2 below.  In such case, in addition to monthly usage reports, Cloudera will also issue monthly invoices to Customer charging Customer the applicable Cloud Usage Fees and User-Based Fees, and (ii) Customer agrees to pay such invoices in accordance with the terms of its applicable agreement with Cloudera. The period beginning when the Customer has used its Pre-Pay Credits in full and ending on the last day of the Pre-Pay Credit Term is referred to as the “Overage Period.”  During the Overage Period, Customer will be entitled to the same Cloud Usage and User-Based Usage rates as were being applied to Customer’s use of CDP Public Cloud Services just prior to the Overage Period. Following the Overage Period, Cloudera’s then-standard rates will apply, unless otherwise agreed by Cloudera and Customer in writing.

2.1.5 For the avoidance of doubt, the terms of Section 2.1.4 apply even in the case that Customer has purchased Pre-Pay Credits through a Cloudera Authorized Partner.  In such case, Customer agrees to pay Cloudera directly for any invoices issued by Cloudera pursuant to Section 2.1.4.

2.2   Pay-As-You-Go

Under Cloudera’s pay-as-you-go or “PayGo” option, Cloudera will invoice customer on a monthly basis in-arrears for applicable Cloud Usage Fees and User-Based Fees incurred by Customer in the previous month. Customer agrees to pay for such invoices in accordance with the terms of its applicable agreement with Cloudera. If Customer’s applicable agreement with Cloudera requires that Customer issue a purchase order to Cloudera in order for Cloudera to invoice Customer for applicable fees, then Customer agrees to issue a blanket purchase order that allows Cloudera to invoice Customer for Cloud Usage Fees and User-Based Fees due under this PayGo billing option. 

3.  UPDATES TO THESE PRICING AND BILLING TERMS.  Cloudera may update these Pricing and Billing terms from time to time, in its sole discretion.  Cloudera will use reasonable efforts to provide advance notice of material updates. Any such updates will be effective as of the date Cloudera announces that they are effective and will be applied to Customer in the billing cycle following such effective date.
